TERMS AND CONDITIONS FOR PETTENDEN TRADING (PTY) LTD T/A BED KING T/A COMFORT SOLUTIONS TRADE PARTNERS


1. Terms of Sale

All transactions between Pettenden Trading (Pty) Ltd and our trade partners will adhere to our standard terms and conditions of sale unless otherwise specified in the terms and conditions outlined below. Our standard terms and conditions can be found on Bed King and Comfort Solutions respective official websites.


2. Participation

1. Pettenden Trading (Pty) Ltd reserves the authority to assess and decide upon trade partner applications at its own discretion. Additionally, Pettenden Trading (Pty) Ltd maintains the right to discontinue a company's involvement as a trade partner at any time and for any reason, solely at its discretion. This encompasses scenarios such as non-compliance with program guidelines, misuse of program benefits, or instances where continued participation no longer aligns with Pettenden Trading (Pty) Ltd objectives, values, or reputation. Such decisions may be based on concerns about potential reputational risks to Pettenden Trading (Pty) Ltd, conflicting actions or affiliations with Pettenden Trading (Pty) Ltd interests or stakeholders, or other factors deemed relevant by Pettenden Trading (Pty) Ltd.

2. Registered trade partners engaged in the sale of goods and services directly to consumers, encompassing professions such as interior decorators, interior designers, architects, developers, and authorized retail and wholesale clients will be considered.

3. Each applicant will undergo assessment based on their business category, market segment, and other pertinent considerations.

4. Retail establishments may undergo additional review, which may involve assessing their competitive landscape and their connections with Pettenden Trading (Pty) Ltd competitors. Businesses primarily operating as e-commerce entities will not be eligible for registration.


3. Pricing and Quotations

1. Trade Partners will receive preferential pricing based on their Partner tier.

2. Partner tiers are determined by the total spend value during the qualifying period.

3. Your initial tier is based on the total spend of your first invoice during the qualifying period.

4. The qualifying period begins on the 1st of March of each year and ends on the last day of February (financial year).

5. If trade partners exceed their current tier by placing a new order, they will qualify for the benefits of the next tier on subsequent orders during the qualifying period.

6. Discounts will be determined by applying a percentage off the Bed King and or Comfort Solutions retail selling price for each product listed on its' website.

7. The discounted pricing does not extend to any items that are labelled as 'marked-down,' 'on sale,' or 'clearance.' If a Trade Partner purchases such items, the discount will be applied based on the standard retail selling price of the item.

8. Prices displayed on the website are subject to change without prior notice. Trade Partners seeking to secure a specific price should request a formal quotation, which will remain valid for 30 (thirty) days from the date of issuance. Quotations guarantee the price but do not secure inventory.

9. Partner Tiers applies exclusively to purchases made by Trade Partners through their registered trade accounts.


4. Delivery and Product Assembly: Pettenden Trading (Pty) Ltd offers Delivery and Assembly services as per its Delivery and Collection Policy. Please refer to it for more information.


5. Return & Refunds Policy: Please refer to Pettenden Trading (Pty) Ltd standard Returns & Refunds Policy for more information.


6. Intellectual Property Usage

1. Trade Partners are not authorized to represent Pettenden Trading (Pty) Ltd as agents, representatives, or outlets. They operate independently. Consequently, Trade Partners agree not to utilize the names 'Bed King' and/or 'Comfort Solutions' in a manner that suggests they are agents or representatives of Pettenden Trading (Pty) Ltd, or under its direction or control. This prohibition extends to using the Bed King and/or Comfort Solutions name or logo in signage, advertisements, or marketing materials without prior written consent from Pettenden Trading (Pty) Ltd.

2. Trade Partners must obtain prior written permission from Pettenden Trading (Pty) Ltd before using product photography or videography.

3. Use of product photography solely for the purpose of providing information or a quotation to a specific customer is permissible. However, any other use, including advertising, requires explicit written permission from Pettenden Trading (Pty) Ltd.


7. General

1. Pettenden Trading (Pty) Ltd reserves the right to modify, amend, or terminate the Trade Partners Terms & Conditions at any time without prior notice.
